Terms of Service

These Terms of Service ("Terms") govern your access to and use of the MFUGO Connect platform, website, and any related services (collectively, the "Platform"), operated by MFUGO CONNECT LIMITED ("MFUGO Connect", "MFUGO", "we", "us", or "our"). By creating an account, accessing, or using the Platform in any way, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Platform. These Terms should be read together with the MFUGO Connect Privacy Policy, which is incorporated by reference, and any other policies or guidelines that MFUGO Connect may publish and specifically incorporate into the Platform from time to time. If you are using the Platform on behalf of an organization, farm, or other entity, you represent that you have the authority to bind that entity to these Terms, and references to "you" include that entity.

MFUGO Connect is a livestock technology platform built around the principle of MANAGE → UNDERSTAND → CONNECT. Our purpose is to help livestock participants move from fragmented, manual processes toward organized digital records and better connections across the livestock value chain. The Platform provides technology tools that help users: - Record and manage livestock information, including animal records, breeding records, health records, nutrition records, and farm operational records; - Organize and understand livestock data to support better decision-making; - Discover and connect with other participants across the livestock value chain; - Access marketplace and procurement functionality to list, discover, and transact livestock and related products; - Facilitate interactions between farmers, breeders, processors, buyers, organizations, and other participants. MFUGO Connect is a technology platform and facilitator. Unless a specific service expressly makes MFUGO Connect a direct party to a transaction, MFUGO Connect does not act as a livestock producer, veterinary provider, processor, buyer, seller, financial institution, or logistics company. The Platform connects participants — it does not replace the professional judgment, due diligence, or legal obligations of those participants.

To use the Platform, you must be of legal age to enter into binding agreements under Kenyan law. You must be at least 18 years of age to register for or use the Platform. If you are under 18, you must not create an account or submit information through the Platform without the involvement of a parent, guardian, or authorized representative. When registering for an account, you agree to: - Provide accurate, current, and complete information; - Keep your account information up to date; - Keep your login credentials secure and confidential; - Not share your account with others or allow others to access the Platform using your credentials; - Not impersonate another person, organization, farm, or entity; - Not create accounts for fraudulent, abusive, or unlawful purposes; - Notify MFUGO Connect promptly if you believe your account has been compromised or accessed without your authorization. You are responsible for all activity that occurs under your account. MFUGO Connect may suspend, restrict, or terminate your account where there is a legitimate reason to do so, including where we have reason to believe that your account has been compromised, misused, or used in violation of these Terms.

MFUGO Connect supports different types of participants across the livestock value chain, including: - Farmers and breeders managing livestock operations; - Processors managing procurement, supply, and processing activities; - Buyers and organizations participating in procurement and marketplace activities; - Other approved participants operating within the livestock value chain; - Platform administrators managing the Platform. Some users operate as individuals while others operate through a farm, organization, or other entity. Where you operate through an organization, you are responsible for ensuring that the information you provide about that organization is accurate and that you have the authority to act on its behalf. Regardless of your user type, you are responsible for ensuring that information you provide about yourself, your farm, your organization, your livestock, your products, your listings, your offers, your requests, and your other activities on the Platform is accurate, complete, and not misleading.

The Platform allows you to submit, upload, and manage a wide range of information and content, including: - Livestock records (species, breed, identification, ownership, status); - Farm records and operational information; - Animal information (health, breeding, nutrition, growth, performance); - Breeding and litter records; - Health and veterinary records; - Nutrition and feed records; - Financial and operational records; - Marketplace listings, procurement requests, and offers; - Organization and processor profiles; - Photographs, images, and other media; - Descriptions, notes, and other content. A. Personal Data Information that identifies or can reasonably identify a living individual is personal data and is governed primarily by the MFUGO Connect Privacy Policy. Please review the Privacy Policy to understand how we collect, use, and protect personal data. B. Business, Livestock, and Operational Data Information you submit about your farm, livestock, organization, and business operations is used to provide the Platform features you have requested. You retain appropriate rights over your own livestock records and business data. By submitting content to the Platform, you grant MFUGO Connect a limited, non-exclusive licence to store, process, display, and use that content to the extent necessary to operate, maintain, and improve the Platform and to provide the services you have requested. We do not claim ownership of your livestock records or business data. You are responsible for ensuring that content you submit is accurate, lawful, and does not infringe the rights of any third party. You must not submit content that is false, misleading, unlawful, or that you do not have the right to submit.

MFUGO Connect provides digital tools for recording and organizing livestock information. These tools are designed to help you maintain better records and make more informed decisions about your livestock operations. MFUGO Connect does not guarantee that: - Records entered by users are accurate, complete, or up to date; - Information supplied by another participant through the Platform is correct; - Livestock information recorded or displayed through the Platform constitutes veterinary, medical, breeding, nutritional, financial, or other professional advice; - Records maintained on the Platform will be sufficient for any particular regulatory, legal, or commercial purpose. You remain responsible for the accuracy of the records you enter and for decisions you make based on those records. The Platform is a tool to support your record-keeping — it does not replace professional veterinary, agricultural, legal, or financial advice where such advice is required. MFUGO Connect is not responsible for livestock losses, health outcomes, breeding outcomes, or other consequences that arise from decisions made based on information recorded or displayed through the Platform, where those decisions are made by you or another user.

Where marketplace and listing features are available on the Platform, users may: - Create listings for livestock, products, or services; - Discover listings from other participants; - Submit or receive offers; - Participate in procurement activities; - Communicate with other platform participants in connection with marketplace or procurement activities. Users who create listings or submit offers are responsible for ensuring that their listings and offers are: - Truthful and not misleading; - Accurate in their description of the livestock, product, or service; - Lawful and compliant with applicable laws and regulations; - Not in violation of these Terms or any applicable MFUGO Connect policies. MFUGO Connect does not automatically become a party to every transaction or arrangement between users. Where users transact with each other, the terms of that transaction are between those users. MFUGO Connect facilitates connections — it does not guarantee the quality, availability, legality, or performance of any listing, offer, or transaction. Fees and commercial terms applicable to marketplace features, if any, will be communicated separately in accordance with Section 10 of these Terms.

Processors and organizations are important participants in the MFUGO Connect ecosystem. Through available Platform features, processors and organizations may: - Create and manage organizational profiles; - Publish procurement requirements and supply requests; - Receive and review offers from farmers and breeders; - Interact with farmers, breeders, and other participants; - Manage relevant business information and records; - Participate in marketplace and procurement activities. Processors and organizations are responsible for: - The accuracy and completeness of information they publish on the Platform; - Representations they make to other users; - Procurement requirements and specifications they communicate; - Commitments they make to other users through the Platform; - Compliance with all applicable laws and regulations governing their business, including food safety, processing, and trade regulations. MFUGO Connect does not guarantee the conduct, financial ability, quality, legality, reliability, or performance of any processor, buyer, farmer, breeder, or organization using the Platform. Users should conduct appropriate due diligence before entering into arrangements with other participants.

MFUGO Connect may facilitate connections between users but does not, unless expressly stated for a specific service, act as a buyer, seller, processor, farmer, breeder, agent, broker, transporter, veterinary professional, or financial institution. Where users transact or enter into arrangements with each other through or as a result of the Platform: - The users are responsible for their own agreements and the terms of those agreements; - Users should conduct appropriate due diligence before entering into any arrangement; - Users are responsible for confirming specifications, quantities, prices, quality, delivery arrangements, payment terms, and all other relevant transaction terms directly with the other party; - MFUGO Connect is not a party to those arrangements unless expressly stated. Nothing in these Terms prevents MFUGO Connect from being responsible for services that MFUGO Connect itself has expressly agreed to provide directly to a user.

MFUGO Connect is currently free to use. Payment functionality is not currently part of the Platform experience, and users are not currently charged for using the Platform. MFUGO Connect may introduce paid services in the future, which may include: - Subscription plans for individual users or organizations; - Paid platform features or enhanced functionality; - Listing fees or marketplace fees; - Transaction or service fees; - Organization or processor plans; - Other paid services. Before any paid service becomes applicable to you: - The relevant pricing and commercial terms will be presented to you clearly; - You will have an opportunity to review the applicable terms before being charged; - Applicable payment and subscription terms will be communicated in advance; - Additional payment or subscription terms may apply and will be provided at the relevant time. You will not be charged for services that are currently explicitly provided free of charge without prior notice and an opportunity to review the applicable terms. Future payment and subscription terms will be governed by the applicable terms presented when those services become available. MFUGO Connect reserves the right to introduce, modify, or discontinue paid plans and pricing in accordance with these Terms and any applicable service-specific terms, subject to providing reasonable notice where required.

You must not use the Platform to: - Commit fraud or engage in deceptive practices; - Impersonate another person, organization, farm, or entity; - Submit knowingly false, misleading, or inaccurate information; - Upload unlawful, harmful, defamatory, obscene, or malicious content; - Abuse, harass, threaten, or intimidate other users; - Attempt to gain unauthorized access to the Platform, other accounts, or related systems; - Interfere with or disrupt the security, integrity, or performance of the Platform; - Introduce malware, viruses, or other harmful code; - Scrape, harvest, or collect data from the Platform in an unauthorized manner; - Manipulate marketplace or procurement activity, including creating fake listings, offers, or demand; - Create fake accounts or listings for any purpose; - Use the Platform for any purpose that is unlawful under Kenyan law or applicable law; - Violate the intellectual property rights of MFUGO Connect or any third party; - Misuse, disclose, or exploit another user's personal information; - Circumvent Platform restrictions, account suspensions, or other measures implemented by MFUGO Connect; - Use the Platform in any way that could damage the reputation or interests of MFUGO Connect or other users. Violation of these prohibitions may result in account suspension or termination and may be reported to relevant authorities where appropriate.

When using the Platform and interacting with other users, you are expected to: - Act honestly and in good faith; - Treat other users with respect; - Conduct yourself in a lawful and responsible manner; - Use the Platform only for its intended purposes; - Not engage in conduct that is harmful, abusive, or disruptive to other users or to the Platform. MFUGO Connect may investigate suspected violations of these Terms or applicable policies. Where MFUGO Connect determines that a violation has occurred or is reasonably suspected, MFUGO Connect may take reasonable action, including: - Issuing a warning; - Removing or restricting access to content; - Restricting Platform functionality; - Suspending an account temporarily; - Terminating an account; - Reporting unlawful activity to relevant authorities where required or appropriate. MFUGO Connect will act reasonably in exercising these powers and will consider the nature and severity of the conduct. Where practicable, MFUGO Connect will notify affected users of action taken, except where doing so would compromise a security investigation or legal process.

MFUGO Connect's software, platform interfaces, branding, logo, design, trademarks, text, graphics, and other platform-owned materials are the property of MFUGO CONNECT LIMITED or its licensors and are protected by applicable intellectual property laws. By using the Platform, you receive a limited, non-exclusive, non-transferable, revocable right to access and use the Platform for its intended purpose in accordance with these Terms. This licence does not give you any ownership rights in the Platform or its materials. You must not: - Copy, reproduce, modify, adapt, or create derivative works of MFUGO Connect's proprietary platform materials without authorization; - Reverse engineer, decompile, or disassemble any part of the Platform; - Redistribute, resell, sublicence, or commercially exploit MFUGO Connect's proprietary materials without authorization; - Remove or alter any proprietary notices, labels, or marks on the Platform. Nothing in these Terms transfers ownership of your livestock records, farm records, business data, or other user-generated content to MFUGO Connect. You retain ownership of content you create and submit, subject to the limited licence granted in Section 5.

MFUGO Connect uses third-party service providers to help operate the Platform. These may include providers of: - Cloud hosting and infrastructure; - Database and storage services; - File and object storage; - Email and SMS delivery; - Authentication and security services; - Analytics and usage measurement; - Communication services; - Payment processing (when introduced); - Other infrastructure or technology services. Third-party service providers may have their own terms of service and privacy policies that apply to their services. MFUGO Connect is not responsible for the practices of third-party providers beyond what is required by our agreements with them. The Platform may also contain links to third-party websites or resources. MFUGO Connect does not endorse and is not responsible for the content, practices, or availability of third-party websites.

The collection, use, storage, and protection of personal data through the Platform is governed by the MFUGO Connect Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you acknowledge that you have read and understood the Privacy Policy. Personal data is handled in accordance with the Privacy Policy and applicable data protection laws, including the Kenya Data Protection Act, 2019. Please review the Privacy Policy carefully. It explains what personal data we collect, how we use it, how we share it, how we protect it, and what rights you have. The Privacy Policy is available at: /privacy-policy

MFUGO Connect will make reasonable efforts to keep the Platform available and operational. However, we do not guarantee uninterrupted, error-free, or continuous availability of the Platform. The Platform may be temporarily unavailable due to: - Scheduled or emergency maintenance; - Technical issues or infrastructure failures; - Events outside our reasonable control. MFUGO Connect may, at any time and without prior notice where not reasonably practicable: - Add new features or functionality; - Remove or modify existing features; - Change the design or interface of the Platform; - Perform maintenance or updates; - Improve or redesign the Platform. Where a change materially affects your use of the Platform, MFUGO Connect will make reasonable efforts to provide advance notice through appropriate means.

MFUGO Connect may suspend or terminate your access to the Platform, with or without prior notice, where: - You have seriously or repeatedly violated these Terms; - We have reason to believe you have engaged in fraud, abuse, or unlawful activity; - Your account poses a security threat to the Platform or other users; - We are required to do so by applicable law or a competent authority; - You have attempted to compromise the Platform or another user's account; - Prolonged inactivity makes it operationally or legally appropriate to close your account. Where practicable, MFUGO Connect will notify you of the reason for suspension or termination, except where doing so would compromise a security investigation or legal process. You may stop using the Platform at any time. You may request closure of your account by contacting us using the details in Section 25. Account closure is subject to applicable data-retention obligations as described in the Privacy Policy. MFUGO Connect may retain certain information after account closure where retention is required or permitted by applicable law, or where necessary to resolve disputes, enforce agreements, prevent fraud, or for other legitimate purposes.

MFUGO Connect provides technology tools and a platform for livestock participants. The following disclaimers apply: Platform Tools vs. User Actions MFUGO Connect provides the tools. Users are responsible for the information they enter, the decisions they make, and the actions they take using those tools. MFUGO Connect is not responsible for the accuracy of user-generated information or for outcomes that result from decisions made based on that information. No Guarantee of Outcomes MFUGO Connect does not guarantee: - Livestock health, quality, or condition; - Breeding outcomes or performance; - Marketplace demand or successful sales; - Successful procurement or supply arrangements; - Profitability or commercial outcomes; - The accuracy of information provided by another user; - The availability, reliability, or performance of another participant; - That the Platform will meet every user's specific requirements. Not Professional Advice The Platform is not a substitute for professional veterinary, legal, financial, agricultural, or other professional advice. Where professional advice is required, you should seek it from a qualified professional. No Warranty To the extent permitted by applicable law, the Platform is provided on an "as available" basis. MFUGO Connect makes no warranty, express or implied, regarding the Platform's fitness for a particular purpose, merchantability, or freedom from errors, beyond what is required by applicable Kenyan consumer protection law.

To the extent permitted by applicable Kenyan law, MFUGO Connect's liability to you is limited as follows: Direct Losses Where MFUGO Connect is directly responsible for a loss you suffer as a result of our failure to meet our obligations under these Terms, our liability is limited to the amount you have paid to MFUGO Connect for the specific service that gave rise to the loss in the twelve months preceding the claim, or such other amount as may be required by applicable law. Indirect and Consequential Losses To the extent permitted by applicable law, MFUGO Connect is not liable for indirect, consequential, special, incidental, or punitive losses, including loss of profit, loss of data, loss of livestock, loss of business opportunity, or reputational harm, arising from your use of the Platform or from transactions or arrangements between users. User Actions and Third Parties MFUGO Connect is not liable for losses arising from: - Actions or omissions of other users; - Inaccurate information submitted by users; - Transactions or arrangements between users; - Third-party services used in connection with the Platform; - Events outside MFUGO Connect's reasonable control. Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable Kenyan law, including liability for fraud, death, or personal injury caused by negligence.

You agree to indemnify, defend, and hold harmless MFUGO CONNECT LIMITED, its directors, officers, employees, and agents from and against any claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from or relating to: - Your violation of these Terms; - Your unlawful conduct or misuse of the Platform; - Your infringement of the intellectual property or other rights of a third party; - Inaccurate or misleading representations you make through the Platform; - Your transactions or arrangements with other users. This indemnity is proportionate and does not apply to the extent that a claim arises from MFUGO Connect's own negligence, fraud, or breach of applicable law.

These Terms are governed by and construed in accordance with the laws of Kenya. If you have a dispute with MFUGO Connect arising from or relating to these Terms or your use of the Platform, we encourage you to contact us first using the details in Section 25. We will make reasonable efforts to resolve disputes informally and promptly. If a dispute cannot be resolved informally within a reasonable period, either party may pursue the matter through the courts of Kenya, which shall have jurisdiction over disputes arising from these Terms, subject to any mandatory dispute-resolution requirements under applicable Kenyan law. Nothing in this section prevents either party from seeking urgent injunctive or other equitable relief from a competent court where necessary to protect their rights.

MFUGO Connect may update these Terms from time to time as the Platform evolves, as our services change, or as required by applicable law. For material changes, MFUGO Connect will provide reasonable advance notice through appropriate means — for example, by posting a notice on the Platform, sending an email to registered users, or by other means where required by applicable law. The updated Terms will show an effective date at the top of the document. Continued use of the Platform after the effective date of updated Terms constitutes your acceptance of those Terms, subject to any additional consent requirements under applicable law. If you do not agree to updated Terms, you should stop using the Platform before the effective date of the changes.

If any provision of these Terms is found to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, that provision will be modified to the minimum extent necessary to make it enforceable, or severed from these Terms if modification is not possible. The remaining provisions of these Terms will continue in full force and effect to the extent permitted by applicable law.

These Terms, together with the MFUGO Connect Privacy Policy and any other policies or service-specific terms that MFUGO Connect publishes and specifically incorporates into the Platform, constitute the entire agreement between you and MFUGO CONNECT LIMITED governing your use of the Platform. These Terms supersede any prior agreements, representations, or understandings between you and MFUGO Connect relating to the subject matter of these Terms, except to the extent that a specific written agreement between you and MFUGO Connect expressly provides otherwise.
